The Property Transaction & Closing Specialist advises on real estate site selection, transaction structure, and due diligence (zoning, title, survey, environmental) for new branch openings. This role reviews Title Insurance Documents, leads commercial closings (purchases, sales, leases, sale-leasebacks, acquisitions), and summarizes diligence documents (Environmental Assessments, Surveys, Zoning reports), identifying investigation needs. The specialist interfaces with internal teams, outside counsel, and closing agents, and is responsible for managing and improving real estate and legal department procedures.

Primary Responsibilities

Duties/Responsibilities:

  • Provides advice and counsel related to real estate site selection, transaction structure, due diligence (including zoning, title, survey, and environmental review), and real estate documents related to new branch opening activities.
  • Review all aspects of Title Insurance Documents and deal directly with the Title Insurance Company in closing real estate transactions.  Applicants will need to have familiarity with Exception documents, Covenants & Restrictions, Leases, Mortgages and Deeds of Trust as well as other items frequently found on a Title Commitment.  Employee will compile and have executed all documents associated with real estate transactions and lead and conduct closings for a variety of commercial transaction types, including: purchases, sales, leases, sale-leasebacks, and acquisitions.
  • Review, summarize and report Diligence related documents to include but not be limited to Environmental Assessments, Commercial Surveys and Zoning reports.  Applicants must have familiarity with these types of reports and understand those areas that require further investigation and/or remediation.
  • Interact directly with colleagues at all levels within EquipmentShare’s real estate, development, and construction teams, among others, to facilitate transparency across departments.
  • Interact directly with outside counsel, opposing counsel and staff landlord personnel, title and escrow agents, and others.
  • Understand, manage, and improve EquipmentShare and Legal Department procedures and forms to create efficiencies and cost savings.

Smartsheet provides a competitive base salary range for roles that may be hired in different geographic areas we are licensed to operate our business from. Actual compensation is determined by several factors including, but not limited to, level of professional, educational experience, skills, and specific candidate location. $115,000—$152,500 USD

Responsibilities

• Work collaboratively to develop litigation strategy for the defense of general liability actions;

Education and Experience Required

• Admission to practice in New York;

What we’re looking for

We’re hiring an Associate General Counsel with high potential who is excited to grow with the business. Healthcare experience is strongly preferred – lived experience in the regulatory and commercial complexity of healthcare infrastructure, payers, providers, or healthtech is ideal. As the second attorney on the team, you will get to own a broad variety of complex and critical legal matters for a rapidly growing company in a highly regulated space. You’ll work closely with the Head of Legal and regularly partner with company leadership and teams across the business. You’ll also scale and improve the processes and tools that let a lean team move quickly while operating comfortably within our risk profile. What you’ll do

  • Be a strategic partner across Stedi, using your legal and regulatory expertise to further our business interests, accelerate deals, and remove blockers.

  • Partner closely with the Head of Legal to handle all of Stedi’s legal needs; as the second legal hire for a rapidly growing business with complex and interesting legal work, you’ll have a tremendous opportunity to shape the role.
